Deca 2 Mini AI Model License Agreement
This AI Model License Agreement (the "Agreement") is made between Deca (the "Licensor") and the Licensee (the "User" or "Licensee") and governs the use of the Deca 2 Mini AI Model. By accessing or using the Deca 2 Mini AI Model, the Licensee agrees to be bound by the terms and conditions set forth herein.
1. Grant of License
Deca grants the Licensee a non-exclusive, non-transferable, and revocable license to use the Deca 2 Mini AI Model subject to the following terms:
a. Private Use:
The Licensee may use the Deca 2 Mini AI Model for personal, non-commercial purposes.
b. Commercial Use:
The Licensee is allowed to use the Deca 2 Mini AI Model for commercial purposes, provided that the usage does not exceed 10,000 active users per day.
If the Licensee or their service provider anticipates exceeding this limit, they must obtain a separate commercial use license from Deca and pay additional fees based on the excess usage volume.
2. Derivative Works
a. Creation of Derivatives:
The Licensee may create derivative works of the Deca 2 Mini AI Model. However, any such works must be subject to the same terms and conditions outlined in this Agreement, including the restriction on exceeding 10,000 active users per day.
b. Distribution of Derivative Works:
Derivative works may not be distributed or provided to any user base exceeding 10,000 active users per day unless the Licensee has obtained a separate commercial agreement with Deca and paid any applicable fees.
3. Third-Party Providers and Retailers
a. Third-Party Distribution:
Third-party providers, resellers, or service providers (e.g., OpenRouter) wishing to offer the Deca 2 Mini AI Model to other businesses must:
- Obtain explicit permission from Deca.
- Pay any applicable fees for users exceeding 10,000 active users per day.
- Ensure that any fees associated with commercial use above the limit are paid by their clients or customers.
b. License Key:
To distribute the Deca 2 Mini AI Model to their customers, third-party providers must secure a valid license key from Deca and notify Deca of the users who will exceed the 10,000 active users per day limit.
c. End-User Responsibility:
For users exceeding 10,000 active users per day:
- The Licensee must ensure that the appropriate fees are paid directly to Deca.
- Alternatively, the Licensee must provide their third-party provider with a valid license key for verification, or ensure the provider handles the fee payment.
d. Direct Use of Deca Infrastructure:
Users of Deca's own infrastructure, such as through Deca’s API or cloud services, are exempt from the restrictions and do not require additional permissions, agreements, or fees for commercial use.
4. Restrictions
The Licensee agrees to the following restrictions:
- No Distribution: The Deca 2 Mini AI Model cannot be distributed, sublicensed, or shared outside the scope of this Agreement.
- No Modifications: The Deca 2 Mini AI Model may not be modified, reverse-engineered, or used to create derivative works except where explicitly allowed.
- No Harmful Use: The Deca 2 Mini AI Model may not be used in any manner that could damage, disable, or otherwise disrupt its functionality or violate applicable laws.
5. Commercial Use Limitations
- User Limit: Commercial use is limited to 10,000 active users per day.
- If the Licensee or their provider exceeds this limit, they must seek and obtain explicit permission from Deca, which may involve additional fees based on the excess usage.
- Failure to Obtain Permission: Deca reserves the right to suspend or terminate the commercial use rights if the user limit is exceeded without proper approval and payment.
6. Ownership and Intellectual Property
The Deca 2 Mini AI Model and all associated intellectual property rights, including copyrights, patents, and trademarks, are the exclusive property of Deca. This Agreement does not transfer ownership of the Deca 2 Mini AI Model or any related materials to the Licensee.
7. Termination
Deca reserves the right to terminate this Agreement at any time if the Licensee breaches any term of this Agreement. Upon termination, the Licensee must immediately cease all use of the Deca 2 Mini AI Model and destroy any copies in their possession.
8. Liability and Disclaimers
The Deca 2 Mini AI Model is provided "as is," and Deca makes no warranties regarding its accuracy, performance, or suitability for any specific purpose.
Deca is not liable for any direct, indirect, incidental, or consequential damages arising from the use of the Deca 2 Mini AI Model.
9. Governing Law
This Agreement shall be governed by and construed in accordance with the laws of the United States, without regard to its conflict of laws provisions.
10. Modifications
Deca reserves the right to modify the terms of this Agreement at its discretion. Any modifications will be communicated to the Licensee, and continued use of the Deca 2 Mini AI Model constitutes acceptance of the updated terms.
11. Miscellaneous
This Agreement represents the entire understanding between the parties regarding the Deca 2 Mini AI Model. Any amendments or additions to this Agreement must be made in writing and signed by both parties.
By using the Deca 2 Mini AI Model, the Licensee acknowledges that they have read, understood, and agree to be bound by the terms of this Agreement.
