NOW, THEREFORE, in consideration of the mutual covenants and agreements contained herein, the parties agree as follows:

**1. Definitions:**

**2. Purpose and Scope:**

**4. Supply Commitment Scheduling and Flexibility (Refer to Exhibit C - Supply Commitment Flexibility Agreement):**

**6. Supplier Responsibilities:**

Supplier's commitment is to provide the best possible supply given agricultural conditions, not to guarantee a fixed quantity.

* **Market-Based Pricing with Agreed Floors and Ceilings:** Pricing linked to prevailing market prices for the Vegetables, but with pre-agreed minimum and maximum prices to protect both parties from extreme market volatility.

* **Cost-Plus Pricing with Risk Premium:** Pricing based on Supplier’s cost of production plus a mutually agreed-upon risk premium to compensate for agricultural uncertainties.

**8. Term and Termination:**

Neither party shall be liable for delays in performance or failures to perform hereunder due to causes beyond its reasonable control, including, but not limited to, acts of God, war, terrorism, riots, fire, earthquakes, floods, strikes, governmental regulations, pandemics, **and explicitly including Agricultural Risk Events such as crop failure, hurricanes, tornados, droughts, floods, excessive rainfall, unseasonal frost, hail, heatwaves, pest infestations, disease outbreaks, and widespread labor disruptions directly impacting agricultural production** ("Force Majeure Event"). The affected party shall promptly notify the other party in writing of the Force Majeure Event, providing reasonable documentation, and shall use commercially reasonable efforts to mitigate the effects of such event and resume performance to the extent reasonably possible, recognizing the inherent limitations imposed by agricultural disasters. The parties agree to collaborate in good faith to adjust the Supply Commitment Schedule and other terms of this Agreement in the event of a Force Majeure Event impacting vegetable supply.
