1. Definitions:

"Collaborative Predictive Platform" (CPP): The shared platform operated by [Manufacturer Name] (or a designated third party) that utilizes machine learning models to generate demand forecasts.

2. Purpose and Scope:

4. Transaction Scheduling and Ordering Commitment (Refer to Exhibit C - Forecast Adherence Agreement):

5. Manufacturer Responsibilities:

CPP Operation and Maintenance: Manufacturer shall be responsible for the operation, maintenance, and continuous improvement of the CPP.

Forecast Generation and Delivery: Manufacturer shall generate and deliver Rolling Forecasts to Partner via the CPP on a [Frequency - e.g., weekly] basis.

6. Partner Responsibilities:

Order Placement: Partner shall place purchase orders within the agreed-upon Transaction Schedule and Tolerance Bands.

Communication and Feedback: Partner shall provide timely feedback to Manufacturer regarding Forecast accuracy and any issues related to the CPP or Transaction Schedule.

Participation in Review Committee (Optional): Partner agrees to participate in a Forecast Review Committee (if established) as defined in Exhibit C.

7. Incentive Structure and Shared Savings Pool (Refer to Exhibit C - Forecast Adherence Agreement):

Manufacturer and Partner agree to a Shared Savings Pool mechanism as detailed in Exhibit C.

The affected party shall promptly notify the other party of the Force Majeure Event and shall use commercially reasonable efforts to mitigate the effects of such event.

10. Governing Law and Dispute Resolution:
